1. Parties and agreement
Provider
These terms are between you and Fegig Technologies Limited (“we”, “us”), the registered company that owns and operates GiovChat (also called Giov Chat or Giov). The product website is https://giovchat.app. The company’s website is https://codewithfegig.com.

Customer
“You” or the “Customer” means the professional individual or company that creates a workspace, pays for a plan, or otherwise uses Giov for business purposes. If you invite operators, you remain the contracting party for billing, seats, and Customer Content.
Giov is built for businesses and organisations worldwide. By creating an account you represent that you are acting in a business capacity and that you have authority to bind the company you name.
Agreement documents
This Agreement includes these Terms of Service, the Privacy Policy, the Cookie Policy, the Refund Policy, and any Data Processing terms described below. Paid checkout is also subject to the payment reseller’s buyer terms shown at checkout.
If you do not agree, you must not create an account, embed the widget, connect a channel, enable GiovBot, or start checkout.
2. Definitions
The following meanings apply throughout this Agreement.
- Account: the login used to access the dashboard.
- Workspace: the tenant environment that holds conversations, contacts, widget settings, knowledge, and billing for one Customer.
- Operator: a person you invite to work in the inbox (sometimes called an agent or teammate).
- End User: a person who chats with you through the widget, a connected channel, or a mobile SDK you ship.
- Customer Content: conversations, messages, files, contacts, notes, knowledge sources, prompts, procedures, and other material you or End Users submit.
- Services: Giov as described in section 3, including features that depend on your plan.
- GiovBot: the optional AI assistant that answers from your knowledge, with human handoff, credits, and optional bring-your-own-key.
- Subscription: the Starter, Pro, or Advanced plan, plus any add-on, for a monthly or yearly term.
3. The Services
Giov is hosted customer-support software. Depending on your plan, configuration, and add-ons, the Services may include all of the following. Feature availability, limits, and credits are described on the pricing page and in the dashboard at the time you subscribe.
Live chat and shared inbox
A website widget, realtime messaging, typing indicators, file sharing, notifications, office hours and away replies, satisfaction ratings, assignment, transfer, and a shared queue for unassigned, assigned, and closed conversations.
History, search, exports, and audit
Searchable conversation history with plan-based retention, filters, conversation export (including NDJSON on eligible plans), and an audit trail of operator actions where the plan includes it.
Contacts and customer hub
Visitor context beside the thread (identity, page, location, device, referrer), contact records, notes, custom attributes, segmentation, lifecycle views, and page tracking on eligible plans.
Channels and surfaces
The website widget; email inbox on eligible plans; WhatsApp, Messenger, Instagram, and Telegram on Advanced where you connect those providers; white-label presentation on eligible plans; and a React Native / mobile SDK so End Users can chat from an app you publish.
GiovBot
Knowledge sources (sites, files, and text you provide), procedures, guardrails, test conversations, hosted AI credits, optional extra credit packs, published-agent limits, and bring-your-own-key on Advanced so replies can use a model provider you choose.
Analytics, onboarding, and administration
Workspace analytics, guided setup, team seats and roles, widget appearance and domains, billing, and security settings. We may add, change, or retire features. If a change materially reduces a paid plan during a paid term, we will give reasonable notice and you may cancel as described in Billing.
4. Accounts and workspaces
Registration
You must provide accurate registration information and keep it current. Each operator should use their own login. You must be old enough to form a binding contract in your country.
You are responsible for operators you invite, for keeping passwords and API keys secret, and for all activity in the workspace. Tell us promptly at legal@giovchat.app or support@giovchat.app if you suspect unauthorised access.
Workspace control
The Customer (billing owner) is responsible for Fees, seat limits, installed channels, GiovBot configuration, and the acts of Operators. Revoke access when someone leaves your team. Deleting a workspace deletes Customer Content we hold for that workspace, subject to the Privacy Policy and legal holds.
Do not create multiple Starter workspaces to evade plan limits.
5. Customer Content and End Users
Your rights and our licence
You retain rights in Customer Content. You grant Giov a worldwide licence to host, process, transmit, store, and display Customer Content solely to provide, secure, support, and improve the operation of the Services for you (including routing, search, exports, and GiovBot retrieval).
You represent that you have all rights needed to submit Customer Content, including End User messages, and that it does not infringe others’ rights or violate applicable law.
You are the controller of End User data
When End Users chat on your website, app, or connected channel, you are the controller of that personal data. Giov processes it as your processor to provide the Services. You must provide End Users with an appropriate privacy notice, collect any consent required for chat, recordings, cookies, or messaging channels in your jurisdictions, and honour their rights.
Our cookie banner on Giov’s own website does not cover your website or app. The widget and mobile SDK set storage on properties you control; you must describe that in your own policies.
6. Widget, SDK, and channels
Embedding
You may embed the widget only on domains you control and that you have registered in the dashboard. You may ship the mobile SDK only in applications you publish. You must not wrap Giov in a competing hosted chat product or resell access except under a separate written agreement.
Messaging channels
WhatsApp, Messenger, Instagram, Telegram, and email are provided through those networks and your own provider accounts. Their terms, acceptable-use rules, and data practices apply in addition to ours. We are not responsible for outages, bans, message fees, or policy enforcement by Meta, WhatsApp, Telegram, email hosts, or similar providers.
You are responsible for obtaining End User opt-in where those networks or local e-privacy / spam laws require it.
7. GiovBot and artificial intelligence
What GiovBot does
GiovBot generates replies from your knowledge, procedures, conversation context, and the model behind hosted credits or your own key. It can hand off to a human. It is an assistive system. It does not independently bind you to contracts, set your company policy, or replace human judgement.
Limitations
Outputs can be incomplete, outdated, biased, or fabricated (hallucinations). Similar questions may produce different answers after model or knowledge updates. You must review configuration, knowledge quality, guardrails, and production replies, and you remain responsible for what End Users are told.
Credits and bring-your-own-key
Hosted AI replies consume plan or add-on credits (one credit is one AI reply unless we state otherwise). Unused hosted credits do not roll over. When hosted credits run out, GiovBot stops hosted replies and can hand the visitor to a human according to your settings.
On Advanced, a bring-your-own-key sends prompts to the provider you choose. That provider’s terms, privacy notice, pricing, and availability apply. We do not control that provider and are not liable for its output.
Training
We do not use Customer Content or End User conversations to train general-purpose foundation models for other customers. We may process inputs, outputs, and logs as needed to operate, secure, and support GiovBot, to apply your entitlements, and to comply with law.
EU AI Act
Where the EU AI Act applies, Giov is the provider of the GiovBot system as configured in our product, the foundation-model vendor is the GPAI provider, and you are the deployer. You must assess whether your use case is high-risk, keep human oversight, and give End Users any transparency the law requires (including that they may be interacting with an AI system).
8. Acceptable use
You must not, and must not allow Operators or End Users to, use Giov to:
- Break the law, including spam, fraud, harassment, child sexual abuse material, or collecting data you are not allowed to handle.
- Probe, disrupt, overload, or reverse engineer the Services except as allowed by law.
- Bypass seat, credit, channel, or published-agent limits, or share logins to do so.
- Upload malware, or content that is illegal to host in the UK, EU, US, or your country.
- Embed the widget on sites that promote illegal activity, or on domains you do not control.
- Present GiovBot as a human where law or platform rules require disclosure of automated replies.
- Use connected messaging channels in breach of Meta, WhatsApp, Telegram, or similar rules.
- Resell, white-label, or sublicense Giov except as your plan expressly allows or we agree in writing.
9. Security and confidentiality
Our measures
We use TLS in transit, hashed passwords, access controls, and scoped credentials. No transmission or storage is perfectly secure. We may investigate abuse and suspend access where reasonably needed to protect Giov or other customers.
Your measures
You must use strong passwords, manage operator permissions, review widget domains, and keep API keys and bring-your-own AI keys under your control. Notify us if credentials are compromised.
Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only to perform this Agreement, except for information that is public, independently developed, or required to be disclosed by law (with notice where legally allowed).
10. Intellectual property
Giov, the dashboard, widget, SDKs, models we host, documentation, and trademarks remain ours. We grant you a limited, non-exclusive, non-transferable licence to use the Services during your Subscription for your internal customer-support operations. You do not acquire ownership of the software.
Feedback you give us may be used to improve Giov without obligation to you. Customer Content remains yours, subject to the licence in section 5.
11. Data protection
For Operator accounts, marketing-site visitors, and billing identity, Giov is a controller as described in the Privacy Policy. For End User data in your workspace, Giov is your processor. A Data Processing Addendum reflecting UK/EU GDPR processor clauses is available on request at legal@giovchat.app.
You remain responsible for your own transparency notices, lawful bases, and responses to End User rights requests. We will assist with documented requests you send us that we can fulfil in the product or via export.
12. Billing, trials, and subscriptions
Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Plans and taxes
Starter, Pro, Advanced, and the GiovBot add-on are described on the pricing page. Checkout shows the product, amount, interval, and any tax for your location. The total shown at checkout is the price you pay. We sell to customers worldwide; tax treatment depends on your location as determined at checkout.
Renewal and cancellation
Paid subscriptions renew automatically at the end of each monthly or yearly term until you cancel. Cancel from Billing in the dashboard or by emailing support@giovchat.app. Cancellation takes effect at the end of the current billing period; you will not be charged again after that. Downgrades take effect at the end of the current term unless we state otherwise.
Trials and credits
New workspaces may receive a limited Pro trial. When a trial ends, the workspace returns to Starter limits unless you subscribe. Failed payments may lead to past-due status and suspension.
Unused hosted AI credits reset with the billing period. Channel or provider fees (for example WhatsApp conversation charges levied by the network) are not included in Giov’s plan price unless we say so in writing.
13. Refunds
Paid purchases have a 30-day money-back guarantee. The full policy is at https://giovchat.app/refunds.
14. Third-party services
Giov interoperates with Cloudflare, our email provider, the payment reseller, AI model providers, and messaging networks you connect. Those services are not under our control. Your use of them is governed by their terms. We are not liable for their acts, content, or outages.
15. Availability, suspension, and termination
Availability
We aim for a reliable service but do not guarantee uninterrupted availability. Maintenance and incidents will be handled in good faith. Beta or experimental features may be withdrawn at any time.
Suspension and termination by Giov
We may suspend or close accounts that violate these terms, fail payment after notice, present a security risk, or are required to be terminated by law. We may also suspend to protect other customers or our infrastructure.
Termination by you
You may stop using Giov at any time and cancel as described in Billing. Export Customer Content before you delete the workspace. After a short wind-down we delete or anonymise Customer Content as described in the Privacy Policy, except copies we must keep for law, tax, or security.
16. Disclaimers, liability, and indemnity
As-is
Giov is provided “as is” and “as available”. To the fullest extent allowed by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Documentation and help articles are general information, not professional advice.
Liability cap
Our aggregate liability arising from Giov is limited to the fees you paid us for the Services in the three months before the claim. We are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data except to the extent caused by our failure to use reasonable care.
Nothing excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited in your country. If you are a consumer in a country that forbids these caps, they apply only as far as that law allows. Giov is intended for business customers.
Indemnity
You will defend and indemnify us against claims arising from Customer Content, your widget or app, your channels, your GiovBot configuration, or your breach of these terms, except to the extent caused by our breach.
17. International use
We offer Giov to businesses globally. You are responsible for complying with export controls, sanctions, and local laws that apply to your use, including rules on recording communications, unsolicited messages, children’s data, and sector rules (health, finance, education) if they apply to you.
You must not use Giov in a sanctioned jurisdiction or for a prohibited end use under UK, EU, or US law.
18. Complaints, changes, and governing law
Complaints
Email product complaints to support@giovchat.app and legal complaints to legal@giovchat.app. We aim to acknowledge them within two business days and resolve them within ten business days. Billing complaints about a charge can also be raised with the reseller named on your receipt.
Changes
We may update these terms. We will revise the date above and, for material changes to paying customers, give notice by email or in the dashboard. If you do not agree, you may cancel before the change takes effect. Continued use after the effective date constitutes acceptance, except where mandatory law requires otherwise.
Governing law
These terms are governed by the laws of England and Wales, unless a mandatory local law says otherwise. Courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief anywhere, and consumers who are entitled to sue in their home courts may do so where that right cannot be waived.
